These Terms of Service govern access to and use of the Service at https://moelleux.ca. The Service is operated by Horizon-Cumulus (9322-8310 Québec inc.), based in Joliette, Québec, Canada. By accessing or using the Service, you accept these Terms. If you do not agree, do not use the Service.
Use of the Service constitutes acceptance of these Terms, together with our Privacy Policy. The Terms apply to all visitors and users.
If you accept these Terms on behalf of a legal entity (company, organization), you represent that you have the authority to bind that legal entity.
Access to the Service requires the creation of an account. You undertake to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activities carried out under your account.
You must notify us without delay at confidentialite@horizon-cumulus.com of any unauthorized use of your account. You must be at least 18 years old to create an account.
The Service is offered through two distinct billing channels. For direct clients, the subscription is billed annually through the WHMCS portal of Horizon-Cumulus, with payment processed by Moneris Solutions. The plan catalog, pricing, and renewal conditions are published on the Horizon-Cumulus WHMCS catalog.
For agencies (clients managing multiple websites on behalf of third parties), billing is monthly and aggregated; it is processed by an internal Horizon-Cumulus process, outside the WHMCS portal. Agencies do not see invoices or amounts in the Moelleux dashboard. Conditions applicable to agencies are set out in the partnership agreement entered into separately with Horizon-Cumulus.
No credit card payment method is processed or stored directly by Moelleux. Card information is entered on the WHMCS portal and transmitted directly to Moneris Solutions, in accordance with the PCI-DSS standard. Refunds are considered on a case-by-case basis, subject to the conditions of the WHMCS portal.
Failure to pay results in suspension of the Service after reasonable prior notice. Termination for non-payment does not extinguish amounts owed.
You undertake to use the Service in good faith and in accordance with the laws applicable in Quebec and Canada. The following are prohibited in particular: dissemination of illegal, defamatory, or rights-infringing content; attempts to access systems without authorization; sending spam; using the Service to host fraudulent or deceptive activity.
You are responsible for the compliance of your own websites with personal-information-protection laws. Moelleux provides compliance-assistance tools; it does not substitute for legal advice.
The Service, its source code, interfaces, original editorial content, and trademarks are the exclusive property of Horizon-Cumulus or its licensors. Nothing in these Terms transfers ownership of these elements to you.
You grant us a limited, non-exclusive, revocable license, necessary for the performance of the Service, over the data and configurations you provide to us.
Privacy policies generated for your account, consent banner configurations, and the consent logs of your visitors remain your property or that of the entity you represent. With respect to visitors to your websites, Moelleux acts as a processor within the meaning of Section 18 of Loi 25 and processes those data only on your documented instructions and in accordance with these Terms.
Upon termination, you have a reasonable period in which to export your data. After this period, data is deleted or anonymized in accordance with section 6 of the Privacy Policy.
We make reasonable efforts to keep the Service accessible at all times. The Service is, however, provided "as is", without warranty of continuous availability. Moelleux may be interrupted for scheduled maintenance, security updates, or causes beyond our control.
No contractual service-level commitment (SLA) is offered under these Terms, except as expressly provided in a separate written agreement.
To the fullest extent permitted by applicable law, the total liability of Horizon-Cumulus to you, for any damage arising from the Service, is limited to the amounts you have paid us during the twelve (12) months preceding the event giving rise to the claim.
Horizon-Cumulus shall in no event be liable for indirect, incidental, special, or consequential damages (in particular loss of profits, loss of data, loss of goodwill), even if the possibility of such damage was known. This limitation does not apply to liability resulting from gross or wilful fault, or to harm that the law declares non-excludable.
You may terminate your subscription at any time from your dashboard or by writing to confidentialite@horizon-cumulus.com. Horizon-Cumulus may suspend or terminate your access to the Service in the event of breach of these Terms, with reasonable prior notice where circumstances allow.
Upon termination, obligations that by their nature must survive (in particular sections 5, 6, 8, 10) remain in force.
These Terms are governed by the laws in force in the Province of Quebec and by the federal laws of Canada applicable therein, excluding rules on conflict of laws.
Any dispute relating to these Terms or the Service falls within the exclusive jurisdiction of the courts of the judicial district of Joliette, Québec, Canada, subject to mandatory legal provisions recognizing another forum for the consumer.
We may modify these Terms to reflect changes in the Service, in our subprocessors, or in the applicable legal framework. Any material change will be communicated to you by email to the address associated with your account at least thirty (30) days before its effective date.
Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the Service.
